Terms of Service

1. Acceptance

By creating an account or using the Clor CLI, the clor.com website, or any related service (the "Service"), you agree to these Terms of Service with Clor, Inc., a Delaware corporation ("Clor," "we," "us," "our"). If you don't agree, don't use the Service.

2. What Clor is

Clor runs Claude Code, Codex, and other coding agents in development environments and provides the infrastructure, integrations, and tools they use to develop software.

3. Your account

You are responsible for:

• Keeping your account credentials and API keys secret
• Everything that happens under your account, including agent activity
• The accuracy and legality of any inputs you or your agent send through the Service
• Complying with applicable laws and the terms of any third-party services your agent reaches through Clor

4. Acceptable use

You agree not to use the Service to:

• Break the law or infringe anyone's rights
• Send unsolicited bulk email or spam
• Attack, overload, probe, or attempt to gain unauthorized access to the Service or any system reachable through it
• Generate content that exploits minors, promotes violence, or violates the policies of upstream AI providers
• Resell or rebrand the Service without our written permission

We may suspend or terminate accounts that violate this section.

5. Billing and credits

The Service runs on prepaid credits. You buy credits up front and they are consumed as your agent uses the Service. Credit purchases are processed by Stripe; pricing and per-skill costs are shown on the website and in the CLI.

Credit purchases are generally non-refundable except where required by law. Unused credits do not expire while your account is in good standing. We may change pricing on a going-forward basis with reasonable notice; previously purchased credits will be honored at the rates in effect when they were used.

6. Third-party services

Clor relies on third parties to deliver some capabilities, including Stripe for payments and AI providers such as Anthropic, OpenAI, Google, and ElevenLabs for inference. Your use of those capabilities through Clor is also subject to those providers' terms. We are not responsible for outages, output quality, or content policy decisions of upstream providers.

7. AI-generated content

Skills that produce text, images, audio, or other content do so using machine-learning models. Output may be inaccurate, offensive, or otherwise unfit for your purpose. You are responsible for reviewing output before relying on it, publishing it, or acting on it.

8. Coding agents and autonomous execution

Clor is built to give coding agents real capabilities. An agent using the Service can run commands, read and write files, install software, start and destroy compute, reach the network, send email, publish content, and use credentials you have made available to it. These are powerful tools and they act on your behalf, often without a human reviewing each step.

Agents are non-deterministic. They misread instructions, take unintended paths, and act on prompts or content they encounter along the way, including content supplied by third parties (prompt injection). An agent can therefore delete or corrupt data, expose secrets, publish something you did not intend to publish, incur charges, or take actions with real-world consequences, even when the Service is working exactly as designed.

You decide what your agent can reach, and you accept the risk of what it does with that access. You are responsible for:

• Scoping access to what the task needs, including credentials, repositories, machines, and network reach
• Running agents in sandboxes or other isolated environments when the work is not fully trusted
• Keeping independent, tested backups of anything you cannot afford to lose
• Reviewing agent output and actions before they touch production systems, third parties, or anyone else's data
• Setting your own limits on spend, and monitoring usage and running resources
• Any harm an agent operating under your account causes to you or to a third party

Do not give an agent access to systems, data, or funds where an unreviewed, incorrect, or destructive action would be unacceptable. Features that make agents easier to run unattended, including scheduled and background execution, do not reduce these risks and are not a substitute for your own controls. We provide isolation, permission, and credential features as tools you may use; we do not guarantee that any of them will prevent a given action, and using them does not shift responsibility for your agent's behavior to us.

9. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any output will be accurate or fit for any purpose.

We do not warrant that any agent will behave correctly, safely, predictably, or within any instruction, permission, sandbox, or other boundary, and we do not warrant that the Service will prevent any action an agent takes.

10. Limitation of liability

To the maximum extent permitted by law, Clor, Inc. and its officers, directors, employees, contractors, suppliers, and licensors will not be liable for any damages of any kind arising from or related to the Service, your use of or inability to use the Service, or any act or omission of any agent operating through the Service. This exclusion covers direct, indirect, incidental, special, consequential, exemplary, and punitive damages, and it applies regardless of the legal theory, whether contract, warranty, tort, strict liability, negligence, or otherwise, and even if we have been advised of the possibility of such damages.

Without limiting the foregoing, we are not liable for lost profits, lost revenue, lost goodwill, business interruption, cost of substitute services, or for any loss, deletion, corruption, or disclosure of data, code, credentials, secrets, or content, including where caused by commands run, files changed or deleted, software installed, compute created or destroyed, messages, email, or content sent or published, network requests made, credentials used or exposed, or charges incurred by an agent acting under your account, whether or not you reviewed or intended the action, and whether or not the agent was following your instructions, a prompt injected by third-party content, or its own reasoning.

You knowingly assume the risks of running autonomous agents with the access you grant them.

Where liability cannot be excluded as a matter of law, our total liability for all claims arising from or related to the Service is limited in the aggregate to the greater of (a) the amount you paid to Clor in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. In that case our liability is limited to the smallest extent permitted by law. These limitations are a fundamental part of the bargain between you and Clor and survive any failure of essential purpose of any limited remedy.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clor, Inc. and its officers, directors, employees, contractors, suppliers, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, content you or your agent send through the Service, any action taken by an agent operating under your account, or your violation of any third-party rights.

12. Termination

You can stop using the Service at any time and request account deletion as described in our Privacy Policy. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or to protect the Service or other users. On termination, your right to use the Service ends immediately.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The exclusive venue for any dispute arising from these Terms or the Service is the state or federal courts located in California, and you consent to personal jurisdiction there.
